Definition of "Directors’ Resolution"
A Directors' Resolution is a written document that records an action or resolution authorized by the directors of a corporation. Where a directors' meeting can not be held, the same matters can be authorized by a directors' resolution that is signed by all the directors. Also known as Consent to Action Without Meeting
